Election of Directors:
Nominations/Election
Nominating Committee nominated Donna Smith to be elected as Director to complete Ed Pope’s term expiring in February 2010. No other nominations from the floor were made; motion of Judy Barton, seconded by Keith Nagle, vote of the membership unanimously elected Donna Smith as Director to complete Ed Pope’s term.
There being no further business, the Membership Meeting was adjourned.

ACTION: Keith Nagle called the meeting to order.
MINTUTES OF MEETINGS OF 11/06/08:
The Minutes for the October 2nd and November 6th, 2008 meeting were presented. Josh Wilkey made the motion to accept the minutes; Judy Barton seconded, ayes carried. The December 4th meeting did not have a quorum.
REPORTS AND DISCUSSION:
A) Treasurer’s Report
Kevin Murphy reported current balance of $4,160.55. Deposits $5,000.00 from the City, $1,417.00 in donations for Christmas, Concert/ parade. $3,315.26 in disbursements.
Judy Barton and Evelyn Farmer to contact City with regard to City’s $40,000 commitment, and whether it will be paid in a single installment or two $20,000 installments each.
B) Design/Streetscaping
Judy Barton met with Lemon Moyers regarding the fountain installation, Lemon expects a few problems, there remains a questions about the concrete cuts. Judy met with Danny Moyers of KU, no problem to provide power to all 4 corners.
Questions remains as to whether City or DDM will absorb the costs for water and power at the fountains.
C) Promotions
● Christmas Parade/Concert
Josh Wilkey reported the parade was well organized and relatively attended given the snow and cold; the concert went well, and was well attended, with over 300 people.
● Christmas decorations
Students did a great job with the window painting, Vikie Byrne will contact Bill Jones about getting the High School JR. ROTC to remove the paint.
D) Organization
● Officers for 2009
Officers for 2009 nominated per the recommendation per the Nominating Committee:

John Brown moved nominations be closed and placed for vote, motion seconded, and upon vote of the Board, approved unanimously.
● STAFF: Kassie Hauser hire
Ms. Hauser left the meeting while her position was discussed and voted on. Report and findings of the Search Committee and details of Ms. Hauser’s hire were discussed, on motion of John Brown, seconded by Keith Nagle, that DDM hire Kassie Hauser as an independent contractor to act as Main Street Manager, Executive Director, for 1 year, at a salary of $30,000 and that the Board be authorized to make regular disbursements of such salary, on vote of the Board, approved unanimously.
● Amendment of Bylaws
Presentation of the Amendments of Bylaws of DDM discussed, motion by Josh Wilkey, seconded by Vicki Byrne to accept and adopt the Amended Bylaws, on vote of the Board approved unanimously.

Paint the Town Applications need to be submitted by March 6th.

The next DDM meeting will be held at Shades of Brown on February 5th, 2009, at 5:00 p.m.
